Minutes of the Annual Meeting of the Members

Saturday, August 9, 2014,

10:00 A.M.

Community Room of the American Towers

Bret Marshall, President of the Association, called the meeting to order and presided over the meeting.

Residential Trustees of the Board of Trustees present and participating: Brett Marshall, Ted Roper, Paul Carpenter, and Antonia Mejia.

The Commercial Trustees were excused. The Commercial Owner was present by proxy as his ballot had been received prior to the meeting.

Quorum Requirement: It was determined that over 512.62 votes had been cast either by proxy or mail-in ballot and, therefore, a Quorum was established.

Presentation of Candidates for the Trustee position currently held by Antonio Mejia: The candidates for Trustee, Kelsey Tyson and Antonio Mejia, were given time for a short presentation.

Counting of Ballots: Voting was declared closed and ballots were collected for the final count.

Election Results: The following election results were announced:

Residential Trustee Election
      Antonio (Tony) Mejia 350.18 69.3%
      Kelsey Tyson 142.66 28.2%
      No vote (abstain) 9.00 1.8%
      Lance Williams (write-in) 3.76 0.7%
 
Commercial Trustee Election
      Heather Bowen (Commercial Trustee)   88.96 100.0%

Antonio Mejia was declared elected as Residential Trustee and and Heather Bowen was declared elected as Commercial Trustee.

Redecorating Project: It was announced that the Board of Trustees determined to use the approximate amount of $650,000 in the Residential Reserve Fund to redecorate various Common Areas and residential hallways of the American Towers, excluding wall coverings in the residential hallways; and, there will be no special assessment at this time. However, the Board reserved the option to present for vote whether the Owners would approve a special assessment for wall coverings in the future, as many Owners expressed an interest in pursuing such option.

Open Forum: The Trustees answered various questions relating to redecorating and other matters.

Adjournment: The meeting adjourned at 12:30 pm.
